The merger operation consists of the acquisition of exclusive control by GOCIAL – Sociedade de Administração e Organização Empresarial, S.A., (“Gocial”), through its subsidiary JOP – Veículos e Peças, S.A., of the assets and activities developed by Auto Sueco II Automóveis , S.A., in Greater Porto (“Bloco Grande Porto da Auto Sueco Automóveis”).
