The merger operation consists of the acquisition, by CIRSA INTERNATIONAL BUSINESS CORPORATION SLU (“CIRSA”), of exclusive control of SFP ONLINE, S.A. (“SFP”). SFP is owned by two companies governed by Portuguese law – Sociedade Figueira Praia, S.A. and Local Gate, Ltda, which will continue to hold part of its share capital.
