Case description

The merger operation consists of the acquisition, by M. Coutinho SGPS, of exclusive control of the Company RIA TRANSPORTES DE MERCADORIAS S.A. (“RIA TRANSPORTES”), which currently holds more than 90% of the share capital of RIAIBÉRICA, LOGÌSTICA DE VEÍCULOS, S.A. (“RIA IBÉRICA”). The company RIA TRANSPORTES intends to acquire the remaining percentage of the share capital of the company RIA IBÉRICA under the terms defined in the purchase and sale contract signed between the companies.
