The merger operation consists of the acquisition, by C2 Capital Partners – SGOIC, S.A. (“C2 Capital Partners”), through the fund it manages C2 Legacy Buyout – Closed Venture Capital Fund, by António Miguel José de Melo Ribeiro da Cunha (“António Ribeiro da Cunha”) and by Hugo Canais Rodrigues, Luís Alberto Morais Frutuoso and Luís Fernando do Vale Jordão Trindade (together, the “Promoters”), of joint control over Campotec IN – Conservação e Transformação de Hortofrutícolas, S.A. (“Campotec IN”). The operation also indirectly includes its subsidiaries Campotec Agro – Sociedade Unipessoal, Ltda. (“Campotec Agro”) and Energip – Comércio de Combustíveis, Ltda. (“Energip”).
