Notified on 3 August 2005, this merger consists of the acquisition, by GRUPO PESTANA SGPS SA, of shareholdings in the registered capital of the undertaking HOLDSUN SGPS SA (hereinafter referred to as "HOLDSUN"), which has a holding in the undertaking CITG SGPS SA (hereinafter referred to as CITG), which in turn holds the total registered capital of SONHANDO - Organização de Viagens SA (hereinafter referred to as "SONHANDO").
