Notified on 27 September 2005, the present merger consists of the alteration of the control structure of Selenis, S.G.P.S., S.A. ("Selenis SGPS"), an undertaking under Portuguese law, which will henceforth be jointly controlled by: Ibersuizas Capital Fund I, L.P. ("LP 1"); Ibersuizas Capital Fund I, S.C.R. ("SCR"); Control Pet, S.G.P.S., S.A. ("Control Pet"); Baring Private Equity Partners España, S.A., SGECR, ("Baring"); and Inversiones Ibersuizas, S.A. ("Ibersuizas").
