Notified on 13 January 2006, this merger consists of the indirect acquisition of sole control of the undertaking HOSPOR - Hospitais Portugueses SA ("HOSPOR"), by the undertaking Espírito Santo Saúde SGPS, SA ("ES Saúde") - which is controlled by the holding Espírito Santo Financial Group SA ("ESFG") - by means of the acquisition of the registered capital of the special purpose entity ROPSOH - Unidades de Saúde SA ("ROPSOH").
