Notified on 28 March 2007, this merger consists of the projected acquisition, by CEREP Investment I SARL (hereafter "CEREP"), a company controlled by Carlyle Europe Real State Partners II LLC (hereafter "CEREP II"), and the TC GROUP LLC (hereafter "Carlyle"), of sole control of Freeport Leisure Plc (hereafter "Freeport"), via a public offer to purchase the shares representing the latter´s registered capital, on the London Stock Exchange.
