Notified on 10 April 2007, this merger consists of the acquisition of sole control, by Compañia Española de Seguros y Reaseguros de Crédito y Caución SA, Sociedade Unipersonal (hereafter "CyC"), of Atradius NV (hereafter "Atradius"), via a special purpose entity set up for the present effects, the holding company named Grupo Compañia Española de Crédito e Caución SL (hereafter "HOLD CyC"), by means of the entry of HOLD CyC into the registered capital of Atradius.
