The merger, which had on effect on 8 June 2007, consists of the acquisition by ST Cigar Group Holding BV ("STCG"), a subsidiary controlled by Skandinavisk Tobakskompagni A/S ("ST"), of sole control of the Dutch company BV Schimmelpenninck Sigarenfabrieken v/h Geurts en Van Schuppen ("Schimmelpenninck") and, through its Dutch subsidiary Henri Wintermans Cigars BV ("HW"), acquisition of the cigar brands of the Belgian company Tabacofina-Vander Elst NV ("TVE") that are marketed in Portugal. The company Schimmelpenninck and the TVE brands are indirectly controlled by British American Tobacco plc ("BAT").
