Notified on 30 July 2008, this merger operation consists of the creation of a Joint Venture (henceforth JOINT VENTURE), jointly controlled by SONAE DISTRIBUIÇÃO SGPS, SA (henceforth SONAE DISTRIBUIÇÃO) and RAR - SOCIEDADE DE CONTROLE (HOLDING) SA (henceforth RAR HOLDING), to which they will transfer their shareholdings in companies operating in the travel agency and tour operator sector.
