Notified on 30 September 2008, this merger operation consists of the acquisition, by Fundo Explorer II - Fundo de Capital de Risco (henceforth "Fundo Explorer II"), of all the shares held by António Pedro Ferreira da Luz in the following companies: APL - Restauração SA, Cafetaria Europeia - Actividades Hoteleiras SA, Casa das Sandes - Comércio de Sandes SA, Companhia das Sandes - Comércio de Sandes SA, Companhia Ibérica de Cafetarias SA, SCP - Sociedade de Cafetarias Portuguesas SA, SIC - Sociedade Ibérica de Cafetarias SA, SNC - Sociedade de Cafetarias SA and UNIC - União de Cafetarias SA (conjointly "Companhia das Sandes"); these shares represent the total registered capital and all the voting rights of the said companies.
