Notified on 29 June 2009, this merger operation consists of the acquisition, by Explorer II - Fundo de Capital de Risco ("Fundo Explorer II"), which is managed by the management company Explorer Investments - Sociedade de Capital de Risco SA, via the special purpose entity Linetrica SA ("Linetrica"), of exclusive control of a group of companies, Valorset - Gestão e Valorização de Recicláveis Lda ("Valorset"), Machete & Machete - Gestão de Resíduos SA ("Machete"), Valorsines, Valorização, Gestão de Recicláveis Lda ("Valorsines"), Esfera Verde - Metalomecânica Lda ("Esfera Verde"), Valorbelas SA ("Valorbelas"), Valorgar SA ("Valorgar") and Rodolixo - Gestão de Resíduos Lda ("Rodolixo"), jointly termed the "Valor Group", by means of the acquisition of all the shares representing the registered capital of these companies.
