Description
A holding company directly owned by Farminveste - Investimentos, Participações e Gestão SA and, indirectly, by the Associação Nacional de Farmácias (henceforth "ANF"). The corporate purpose of Farminveste - Investimentos, Participações e Gestão SA is to invest in movable and immovable property, manage its own assets, operate industrial, commercial and service facilities of its own or others, and provide business assistance services in general. The mission of the ANF, in its turn, is to represent the interests of the legal owners of chemist shops, taking all the initiatives and carrying out all the activities that prove necessary or useful and that comply with its statutes.

Description
The entity resulting from the merger by incorporation of Consiste - Gestão de Projectos, Obras, Tecnologias de Informação, Equipamentos e Serviços Lda (an undertaking in which Farminveste owns a majority holding) with ParaRede. Glintt´s activity is to manage shareholdings in other companies, as an indirect form of exercising economic activities, in particular in the communication and information systems sector.

Case description
On 27 November 2009, the Competition Authority received informal notification of a merger operation between undertakings, carried out under Articles 40 and 9 of the said legislation. Carried out in 2008, the merger operation in question consists of the acquisition, by Farminveste SGPS Lda (henceforth "Farminveste"), of exclusive control of Glintt - Global Intelligent Technologies SGPS SA (henceforth "Glintt"), an entity formerly named ParaRede, SGPS SA (henceforth "ParaRede"). It occurred within the scope of the merger by incorporation of Consiste - Gestão de Projectos, Obras, Tecnologias de Informação, Equipamentos e Serviços Lda (henceforth "Consiste") with ParaRede.
