Notified on 18 December 2009, this merger operation consists of the acquisition, by Kiri Holding Singapore Private Limited (henceforth "Kiri Holding"), of (i) a set of assets of the companies DyStar KG Textilfarben GmbH & Co. Deutschland KG (henceforth "DyStar KG") and DyStar Textilfarben GmbH (henceforth "DyStar GmbH"); and (ii) a series of shareholdings in these companies. With regard to Portugal, the operation notified consists of the acquisition of exclusive control of the Portuguese subsidiary of DyStar GmbH, DyStar Anilines Têxteis, Unipessoal, Lda (henceforth "DyStar Anilines"), by means of the purchase of all the shares representing its registered capital. The said companies DyStar KG and DyStar GmbH are located in Germany.
