Notified on 10 November 2010, the present merger operation consists of the acquisition, by TRPN - Transportes Rodoviários Portugueses do Norte, Sociedade Unipessoal Lda ("TRPN"), belonging to Holding Joalto Transdev SGPS SA ("HJT"), of sole control of Internorte - Transportes Internacionais Rodoviários do Norte Lda ("Internorte"), by means of the acquisition of a shareholding in its registered capital, and, indirectly, inherent control of the companies Intercentro - Transportes Internacionais Rodoviários do Centro Lda, Intersul - Transportes Internacionais Rodoviários do Sul Lda, Lopes Voyages SARL and Intergaliza - Participações e Transportes Lda, as well as of a group of companies held by Ibero - Eurosur SL. Through the control acquired in Internorte, HJT also acquires a shareholding in the registered capital of Rodoviária do Tejo SA, an undertaking that, in turn, controls Sociedade de Transportes Auto-Penafiel Lda.
