The merger operation consists of the acquisition, by Fluidra, Commercial, S.A.U. (“Fluidra”), of the exclusive control of NCWG – Sistemas de Gestão de Água Lda (“NCWG”), Dini & Lulio Lda (“D&L”), Ecohídrica, Piscinas e Regas do Oeste, Lda (“Ecohídrica”) and Kreative Techk, Ltda. (“Kreative Techk” and jointly the Acquired Companies), through the acquisition of their entire share capital.
