Case description

The merger operation consists of the acquisition, by OSP Wolverine Purchaser, LLC ("OSP Wolverine"), a special purpose vehicle integrated into the Ocean Sound Partners group ("OSP"), of exclusive control over IMSAR, LLC ("IMSAR"), through the acquisition of all of IMSAR's issued share capital, becoming a wholly owned subsidiary of OSP Wolverine and, indirectly, of OSP Wolverine Holdings, LP.
